Anthropic IPO filing reveals $42bn Broadcom financing deal
Anthropic’s IPO prospectus has revealed a complex relationship with Broadcom that combines chip supply, computing capacity, equipment leasing and financing, giving the semiconductor company a central role in the AI developer’s infrastructure expansion.
Broadcom has agreed to provide Anthropic with up to $42 billion in financing for infrastructure spending, according to the prospectus. The arrangement is linked to Anthropic’s plans to secure large amounts of computing capacity as it expands its AI operations.
The financing forms part of a broader relationship that could make Anthropic Broadcom’s largest customer in its custom chip design business in 2027.
The arrangement highlights how AI infrastructure deals are evolving beyond conventional technology procurement, with semiconductor suppliers increasingly involved in helping customers finance the computing capacity required to operate advanced AI models.
Broadcom financing supports Anthropic’s AI infrastructure expansion
Anthropic has committed to a five-year lease for approximately $125.2 billion of TPU computing capacity, with the Broadcom-backed convertible financing potentially covering about one-third of that commitment.
The financing arrangement allows Broadcom to designate a financing partner, while the debt instruments issued by Anthropic could potentially be converted into shares of the AI company.
Anthropic said in its filing that it does not expect the notes to be sold before the completion of its IPO.
The structure gives Broadcom an interest in both the supply of infrastructure and the financing used to secure it, creating a closer relationship than a conventional chip supplier arrangement.
Anthropic’s TPU partnership with Google and Broadcom
The infrastructure relationship is also connected to Anthropic’s expanding access to Google’s Tensor Processing Units.
Google and Broadcom have worked together on several generations of Google’s custom TPUs. In April, Anthropic announced an expanded partnership with Google and Broadcom that will provide access to multiple gigawatts of next-generation TPU computing capacity beginning in 2027.
Broadcom said in an April filing that Anthropic is expected to access approximately 3.5 gigawatts through Broadcom as part of the multiple gigawatts of next-generation TPU-based AI computing capacity committed to Anthropic.
The scale of the arrangement reflects the amount of computing infrastructure required by leading AI developers as they train and operate increasingly capable models.
Broadcom could become Anthropic’s largest compute customer
The relationship could become increasingly important for Broadcom’s AI semiconductor business.
Anthropic is expected to become Broadcom’s largest compute customer in 2027. Broadcom has projected AI semiconductor revenue of approximately $115 billion in fiscal 2027 and $230 billion in fiscal 2028.
That makes Anthropic’s infrastructure expansion commercially significant for Broadcom, particularly as demand for custom AI accelerators and associated networking infrastructure continues to grow.
The structure also resembles a strategy Nvidia has used in the AI infrastructure market, where strong financial resources have been deployed to support customers and expand chip sales.
Anthropic identifies potential conflicts of interest
The financial and infrastructure relationship also creates risks for Anthropic.
The AI company disclosed in its prospectus that Broadcom’s role as both a hardware supplier and financing partner creates potential conflicts of interest. Anthropic said decisions relating to pricing and hardware could affect its ability to secure sufficient computing infrastructure.
The company also warned that certain payment or performance defaults could make a substantial portion of its lease obligations immediately payable while restricting its ability to use the $42 billion financing facility to meet those obligations.
As part of the convertible debt arrangement, Anthropic deposited cash into a restricted account for Broadcom’s benefit in April 2026 and could be required to make additional contributions under certain circumstances.
These provisions underline the financial commitments associated with Anthropic’s planned infrastructure expansion.
AI infrastructure spending creates new financial relationships
The Broadcom arrangement comes as Anthropic prepares for a public listing that could value the company at up to $2 trillion, according to reporting around its IPO plans.
The company’s prospectus highlights the enormous capital requirements facing AI developers as they seek access to computing infrastructure. Anthropic’s infrastructure commitments extend well beyond the cost of developing AI models themselves, with long-term computing capacity becoming a major component of its financial obligations.
For Broadcom, the arrangement potentially creates a large and growing customer relationship while also tying a portion of its AI semiconductor opportunity to Anthropic’s ability to generate sufficient revenue and maintain its infrastructure commitments.
For the wider AI industry, the deal illustrates how chip suppliers, cloud and compute providers, financiers and AI model developers are becoming increasingly interconnected.
What to watch next
The key developments will include Anthropic’s IPO, the deployment of its contracted TPU capacity from 2027, the evolution of its financing arrangements with Broadcom and the extent to which its revenue growth supports its long-term infrastructure commitments.
Broadcom’s AI semiconductor revenue growth will also provide an important indicator of how quickly demand for custom AI computing infrastructure is translating into semiconductor sales.
Market Signal: The Anthropic-Broadcom relationship demonstrates that the next phase of AI infrastructure expansion is not simply about securing chips and computing capacity. Financing, equipment leasing and semiconductor supply are increasingly being combined within the same strategic relationships.
